1. Service Description
We provide local business directory listings and hosted one-page business website services. A participating page may include business information, services, photographs, logos, links, calls to action, lead forms, appointment features, and other features depending on the selected plan or written agreement.
2. Directory Listings and Hosted Pages
Directory listings and hosted pages are provided as a managed service. Unless a separate written agreement states otherwise, the service provider retains ownership and control of the service domains, hosting environment, reusable templates, layouts, software, workflows, page structure, and other platform components.
A customer's subscription gives the customer the right to use its hosted listing/page while the subscription remains active and in good standing. It does not automatically transfer ownership of the domain, hosting account, template, source code, CRM account, workflow, or underlying website platform.
3. Customer-Owned Content
Customers retain ownership of logos, trademarks, photographs, written content, videos, and other materials they provide and have the right to use. By submitting materials, the customer grants us a non-exclusive license to use, resize, format, display, reproduce, host, and otherwise process those materials as reasonably necessary to build, operate, maintain, promote, and display the customer's directory listing or hosted page.
The customer represents that it has permission to use all materials, names, marks, claims, photographs, and other content it submits.
4. Customer Information and Accuracy
The customer is responsible for the accuracy and legality of business information supplied for publication, including prices, offers, licenses, certifications, service descriptions, service areas, claims, hours, and contact information. Customers should promptly notify us of material changes.
5. Subscriptions, Fees, and Billing
Paid services may be offered on a recurring monthly basis or under another billing arrangement shown at checkout, on an invoice, or in a written agreement. By starting a recurring subscription, the customer authorizes recurring charges until cancellation.
Prices, setup fees, included features, and promotional offers may vary. We may change pricing for future billing periods with reasonable notice, subject to applicable law.
6. Cancellation and Page Removal
Unless otherwise stated in writing, recurring hosted-page services are intended to be month-to-month and may be canceled in accordance with the applicable billing terms. Cancellation stops future recurring charges after the applicable paid period. Amounts already paid are generally non-refundable except where required by law or expressly agreed otherwise.
After service ends, we may disable, unpublish, redirect, archive, or remove the hosted page. Transfer of the completed page, source code, template, hosting environment, domain, workflows, or backend systems is not included unless separately agreed and paid for.
7. Free or Promotional Setup Offers
From time to time, we may offer free or discounted setup to selected businesses. A free setup offer applies only to the setup work specifically described in the promotion and does not make recurring hosting, directory, subscription, add-on, messaging, booking, or other paid services free unless expressly stated.
8. Lead Forms and Business Communications
Business pages may contain forms that allow visitors to contact the featured business. We may route submissions to the email address, CRM, phone number, workflow, or other destination configured for that business. The featured business is responsible for responding to leads and for its own compliance with privacy, advertising, messaging, recordkeeping, and consumer-protection laws.
We do not guarantee that every form submission, notification, email, text message, appointment, or other communication will be delivered without delay or interruption.
9. SMS Messaging Terms
Program/Brands: LocalVA and LocalWV Directory Services.
Users who separately opt in may receive text messages related to inquiries, directory services, account or service updates, appointment information, lead notifications, customer support, or other message categories described at the point of consent.
Message frequency varies. Message and data rates may apply.
Reply STOP to opt out. You may also use other supported opt-out keywords where available. After opting out, you may receive a final confirmation message.

Consent to receive text messages is not a condition of purchase. Consent is specific to the message program or purpose disclosed when you opt in and is not transferable.
Carriers are not liable for delayed or undelivered messages.

10. Acceptable Use
You may not use the directory services, hosted pages, forms, or communications for unlawful, fraudulent, deceptive, infringing, abusive, harassing, misleading, or harmful activity. We may reject, suspend, or remove content or accounts that create legal, payment, security, reputational, or platform risk.
11. Prohibited or Restricted Content
We may refuse listings, promotions, messages, or content that violate law, carrier rules, platform policies, payment-provider rules, or our own risk standards. Messaging is also subject to carrier and A2P requirements, which may restrict or prohibit certain categories of content.
12. No Guarantee of Results
We do not guarantee search-engine rankings, directory placement, website traffic, leads, calls, appointments, sales, revenue, reviews, conversions, or any specific business result. The service provides hosting, presentation, directory exposure, and lead-capture tools; results depend on factors outside our control.
13. Search Engines and SEO
We may use reasonable on-page search-engine optimization practices, such as page titles, descriptions, headings, local/service wording, image alt text, links, and clean page URLs. Search engines independently control crawling, indexing, ranking, and display. No ranking or indexing result is guaranteed.
14. Third-Party Services
The services may rely on third-party providers for hosting, forms, CRM, messaging, telecommunications, payments, maps, analytics, calendars, social platforms, or other functionality. We are not responsible for outages, policy changes, suspensions, delivery failures, or other issues caused by third parties outside our reasonable control.
15. Intellectual Property
Except for customer-owned content, the directory brands, original site designs, templates, layouts, workflows, graphics, software, code, and platform materials are owned by us or our licensors and may not be copied, resold, reverse engineered, or reused outside the service without written permission.
16. Disclaimer of Warranties
To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis. We disclaim warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, where such disclaimers are legally permitted.
17. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from or related to the services. Where permitted, aggregate direct liability for a claim will not exceed the amount actually paid by the customer for the affected service during the three months immediately preceding the event giving rise to the claim, except where a different limitation is required by law or written agreement.
18. Indemnification
To the extent permitted by law, a business customer agrees to defend, indemnify, and hold the service provider harmless from third-party claims, losses, or expenses arising from customer-supplied content, inaccurate or unlawful business claims, infringement of third-party rights, misuse of leads, unlawful communications, or violation of these Terms.
19. Suspension and Termination
We may suspend or terminate service for non-payment, fraud, abuse, unlawful use, material breach, repeated policy violations, security concerns, carrier/platform violations, or other material risk. When reasonably practical, notice will be provided before termination.
20. Changes to the Service or Terms
We may update templates, hosting systems, vendors, technical providers, features, or these Terms as the service evolves. Updated Terms may be posted with a new effective date and will apply prospectively as permitted by law.
21. Governing Law
These Terms are generally governed by the laws of the State of West Virginia, without regard to conflict-of-law principles, except to the extent mandatory consumer, privacy, telecommunications, or other applicable law requires otherwise.
